Terms and Conditions

Company: Edison Elm Inc. (“Edison Elm,” “we,” “our,” or “us”)

Platform: Inventory Replenishment System (inventory.edisonelm.com)

  1. Acceptance of Terms

    • By accessing or using the platform, PDA scanners, or any related hardware or software (“System”), you agree to these Terms and Conditions. If you do not agree, do not use the System.

  2. License and Use

    • Edison Elm grants you a limited, non-exclusive, revocable license to use the System solely for internal business purposes related to inventory and purchasing management.
    • You may not:
    • Copy, modify, reverse-engineer, or resell the System. Access or use the System for competitive analysis. Interfere with security features or attempt unauthorized access.

  3. Hardware Use and Safety

    • When using any Edison Elm-provided PDA or scanner device:
    • Do not look directly into the red scanning beam or point it at eyes.
    • Handle devices according to manufacturer specifications.
    • Edison Elm is not liable for injury, damage, or misuse arising from improper use of hardware, including exposure to scanning beams.

  4. Data Visibility and Use

    • For complimentary users, Edison Elm may view and analyze purchasing and inventory data to provide targeted product recommendations, alternative components, or promotional offers.
    • For paid users, purchasing data remains confidential and is used solely for service delivery.
    • You retain ownership of your business data, but grant Edison Elm a non-exclusive right to process, analyze, and aggregate data for system improvement.

  5. Accuracy of Data

    • You are solely responsible for the accuracy of inventory inputs, scan events, and purchase orders generated through the System.
    • Edison Elm is not liable for:
    • Incorrect inventory counts or replenishment levels.
    • Miscalculations or system errors leading to over- or under-ordering.
    • Incorrectly procured raw materials or stock discrepancies.
    • Any resulting business, production, or financial losses.

  6. Service Availability

    • We strive for continuous availability but do not guarantee uninterrupted access. Scheduled maintenance and network interruptions may occur without notice.

  7. Limitation of Liability

    • To the fullest extent permitted by law:
    • Edison Elm is not liable for any indirect, incidental, or consequential damages arising from the use or inability to use the System, hardware, or related services.
    • Total liability is limited to the amount paid (if any) for your subscription or use of the System in the 12 months preceding the claim.

  8. Indemnification

    • You agree to indemnify and hold harmless Edison Elm, its affiliates, officers, employees, and agents against claims, losses, or damages arising from:
    • Your use or misuse of the System or hardware.
    • Your violation of these Terms.
    • Errors in data entry, scanning, or purchasing decisions.

  9. Intellectual Property

    • All content, trademarks, and technology in the System are the property of Edison Elm Inc. or its licensors.
    • You may not reproduce or use them beyond permitted business operations without written consent.

  10. Termination

    • We may suspend or terminate access if you breach these Terms or misuse the System. Upon termination, all licenses cease immediately.

  11. Governing Law

    • These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles.
    • Disputes shall be resolved in Calgary, Alberta.
